You agree to defend, indemnify and hold harmless Referralrecruitment and its parents, subsidiaries, shareholders, owners, directors, employees, officers, agents, affiliates, advisers, consultants, advertisers, distributors, resellers, suppliers, publishers, promoters from and against any claims, suits, proceedings, cause of actions, demands, liabilities, damages (actual and consequential, direct and indirect; including legal and professional fees related to third party claims), losses, costs, expenses, asserted by any third party and arising from your use of the Site, your conduct, content, communications, alleged infringement of third party intellectual property or privacy rights, or as a direct or indirect result of any violation or breach by you of the Terms and Conditions such as failure to pay invoices or any other payments like the liability arising from the tax and VAT treatment of invoices and payments. You shall reimburse each indemnified party on demand for any costs, expenses and liabilities incurred by such indemnified party to which this indemnity relates.
